7. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ACEIQ AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, LICENSORS, AND SUPPLIERS WILL NOT BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, ARISING OUT OF OR RELATED TO YOUR USE OR INABILITY TO USE THE SITE OR SERVICES, EVEN IF ACEIQ HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

You agree to defend, indemnify, and hold harmless AceIQ, its officers, directors, employees, agents, licensors, and suppliers from and against any claims, losses, liabilities, expenses, damages, and costs, including, without limitation, reasonable attorneys’ fees, arising out of or relating to your use of the Site or Services, your violation of these Terms, or your violation of any rights of another party.

9. Governing Law and Dispute Resolution

These Terms will be governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to its conflict of laws provisions.

Any dispute arising out of or relating to these Terms or your use of the Site or Services will be resolved exclusively in the courts of the Province of Ontario, and you hereby consent to the exclusive jurisdiction and venue of such courts.

10. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and AceIQ relating to your access to and use of the Site and Services.

11. Severability

If any provision of these Terms is held to be invalid or unenforceable, such provision will be struck and the remaining provisions will remain in full force and effect.

12. Waiver

No waiver of any provision of these Terms will be effective unless in writing and signed by an authorized representative of AceIQ. Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights or provisions.
